Terms of Business

These Terms of Business (the “Terms”) constitute a legally binding agreement between you (“you”, “your”, or the “User”) and Love of Brew (“Love of Brew”, “we”, “us”, or “our”) governing your access to and use of the Love of Brew website, mobile applications, and related services (collectively, the “Platform”).

The Platform is operated on and powered by YouPurr, a social commerce technology platform (“YouPurr”). By creating an account, accessing, or using the Platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

• “Content” means any and all material submitted, uploaded, posted, or otherwise made available on the Platform, including but not limited to videos, images, audio, text, comments, reviews, ratings, captions, metadata, and any other creative or informational works.
• “Creator” means a User who uploads Content, including video reviews of products.
• “Vendor” means a merchant offering products for sale through the Platform.
• “YouPurr Marketplace” means the network of storefronts, applications, and commerce experiences operated or powered by YouPurr, including the Platform and any other property utilising the YouPurr technology.
• “Commission” means the earnings payable to a Creator as described in Section 8.

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account and use the Platform. By registering, you represent and warrant that all information you provide is accurate, current, and complete, and that you will keep it updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account. We reserve the right to suspend or terminate accounts that contain false information or that are used in breach of these Terms.

This Section is material to your use of the Platform. Please read it carefully.

By uploading, submitting, posting, or otherwise making available any Content on the Platform, you hereby irrevocably and unconditionally assign, transfer, and convey to Love of Brew all right, title, and interest in and to such Content, including all intellectual property rights, copyright, and related and neighbouring rights therein, throughout the world, for the full duration of such rights, including all renewals and extensions. Love of Brew shall be the sole and exclusive owner of all such Content and the copyright subsisting therein.

To the fullest extent permitted by applicable law, you irrevocably waive, and agree not to assert against Love of Brew, YouPurr, or their licensees and assignees, any and all moral rights (including the right to be identified as the author and the right to object to derogatory treatment) that you may have in respect of any Content.

You acknowledge and agree that all Content, including videos, comments, reviews, ratings, and any other materials you contribute, may be used, reproduced, distributed, adapted, modified, publicly displayed, publicly performed, sublicensed, and commercially exploited by Love of Brew and YouPurr in any and all media, formats, and channels now known or hereafter devised, without restriction and without any obligation of compensation, attribution, or notice to you. In particular, and without limitation, such Content may be used across any storefront, application, or commerce experience within the YouPurr Marketplace.

You represent and warrant that you own or have obtained all necessary rights, licences, consents, and permissions to grant the foregoing assignment and rights, that your Content does not and will not infringe or violate the intellectual property, privacy, publicity, or other rights of any third party, and that any persons appearing in your Content have consented to such appearance and use.

To the extent any transfer or assignment of rights under this Section is not effective under applicable law, you hereby grant Love of Brew and YouPurr a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, and sublicensable licence to exercise all such rights in and to the Content to the maximum extent permitted.

You agree that you will not, and will not permit any third party to:

• upload Content that is unlawful, defamatory, obscene, fraudulent, misleading, or infringing;
• post fake, incentivised, or deceptive reviews, or manipulate ratings or engagement metrics;
• impersonate any person or entity or misrepresent your affiliation with any person or entity;
• use the Platform to distribute spam, malware, or other harmful code;
• attempt to gain unauthorised access to the Platform, other accounts, or connected systems;
• scrape, harvest, or collect data from the Platform except as expressly permitted; or
• use the Platform in any manner that violates any applicable law or regulation.

We reserve the right, but are not obligated, to review, monitor, remove, or disable access to any Content at our sole discretion and without notice.

Products offered through the Platform are sold by Vendors. All prices are displayed inclusive or exclusive of applicable taxes as indicated at checkout, and may be subject to change. By placing an order, you make an offer to purchase the relevant product subject to these Terms and any Vendor-specific terms.

We and our Vendors reserve the right to refuse or cancel any order, including where there is a pricing error, suspected fraud, or product unavailability. Delivery, returns, refunds, and warranty matters are handled in accordance with the applicable Vendor and consumer protection laws in your jurisdiction, including, where applicable, your statutory rights under the Consumer Rights Act 2015.

Creators may earn a Commission of five percent (5%) of the eligible net sale value of qualifying purchases made through their Content, for the lifetime of the associated customer relationship, subject to these Terms and any applicable programme rules. “Net sale value” excludes taxes, shipping, discounts, refunds, chargebacks, and returned items.

Commission is only earned on completed, non-refunded transactions attributed to your Content through our tracking systems. We reserve the right to withhold, adjust, or reclaim Commission in cases of fraud, abuse, returned or cancelled orders, or breach of these Terms. Commission rates and programme terms may be amended prospectively upon notice.

Payouts of earned Commission are processed through Stripe, our third-party payments provider. To receive payouts, you must connect a valid bank account and complete any identity verification required by Stripe. Your use of Stripe is subject to Stripe’s own terms and privacy policy. We are not responsible for delays, errors, or actions of the payment provider. You are solely responsible for any taxes arising on your earnings.

Reviews and comments must reflect your genuine, honest opinion and experience. You must disclose any material connection to a Vendor where required by law. We may remove Content that is inauthentic, offensive, or in breach of these Terms, and may suspend Users who repeatedly violate our community standards.

The Platform, including its software, design, trademarks, logos, and all materials provided by Love of Brew and YouPurr (excluding User Content), is owned by or licensed to Love of Brew and YouPurr and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose. No other rights are granted.

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. By using the Platform, you consent to such processing and you warrant that all data you provide is accurate. You may exercise your data subject rights as described in our Privacy Policy.

The Platform may integrate with or link to third-party services, including payment providers, analytics, and Vendor sites. We do not control and are not responsible for the content, policies, or practices of any third-party services. Your use of such services is at your own risk and subject to their respective terms.

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any Content or product information is accurate or complete. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

To the fullest extent permitted by applicable law, Love of Brew, YouPurr, and their respective officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or in connection with your use of the Platform, whether based in contract, tort, or otherwise, even if advised of the possibility of such damages. Our aggregate liability arising out of or relating to these Terms shall not exceed the greater of (a) the total amounts paid by you to us in the twelve (12) months preceding the claim, or (b) one hundred pounds sterling (£100). Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded by law.

You agree to indemnify, defend, and hold harmless Love of Brew, YouPurr, and their affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your Content, your use of the Platform, your breach of these Terms, or your violation of any law or the rights of any third party.

We may suspend or terminate your access to the Platform at any time, with or without cause and with or without notice, including for breach of these Terms. Upon termination, your right to use the Platform ceases immediately. Provisions which by their nature should survive termination, including those relating to Content ownership, intellectual property, disclaimers, limitation of liability, and indemnification, shall survive.

We may amend these Terms from time to time. Where changes are material, we will take reasonable steps to notify you, for example by posting a notice on the Platform or by email. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the amended Terms.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim, save that we retain the right to bring proceedings in the courts of the country of your residence where required by mandatory law.
